Now I run Apache 2.2.3, PHP 5.1.6 and MySQL 5.0.19 and would like to upgrade only PHP to 5.2.4.

Do I need Microsoft C++ 2005 Redistributable *SP1*???
If I need SP1 can I just install it over my current Microsoft C++ 2005 Redistributable? or do I first have to uninstall this package?

You can install both Microsoft C++ 2005 Redistributable versions on the same system at the same time. They do not conflict with each other.
