I have just upgraded my OS from 2003 to 2008, my apache install is on f:/ and has not been touched, can i install apache (same version) fresh and copy the old apache folders back , i plan to install apache in the same e:\ |

Yep, just copy back.
Only when you change for example from location f: to e: then change the location in httpd.conf ServerRoot, and when used Documenroot, Directories, ScriptAlias etc. When you use the extra folder config file(s) change to your location also there.

Also would it matter that my new OS is 64bit while the previous OS was 32bit?
I also have some modules that i had complied, can i use those as well or would i need to re-compile? |

32 bit apps run on 64 bits. Just all should work.
You do not mention where you downloaded 2.2.22. |

I downloaded Apache off httpd.apache.org/download.cgi
Also my install worked i copied over the old conf and modules folder once i completed the install |
