Because building php extensions is OT here, I did not build.
Looks like the php-guys are not in a hurry to make a APC Win32 binary, so for all who want the latest 3.0.12p2 APC version for php 5.1.6 can find a binary at :
www.sitebuddy.com/PHP/Accelerators/apc_windows_binaries_builds
I am running it now here, so far no issues.
